Hi Alayne, I don't believe we've met - nice to meet you! Have you attended an OCLUG meeting in the past year? Although you make some valid points, the fact that I have no idea who you are (probably an issue on my end as I'm a new member), and the fact you started off your emails with: "If ANYTHING should be done correctly at OCLUG, surely it should be dissolving the corporation." Makes me really question whether I want to side with you on anything. This is just me being completely honest. Personally, I think everyone involved with the administration of the OCLUG, and those who are actively attending meetings, are doing the best they can with the knowledge and resources that they have. They've been really helpful and supportive. Yep, you should hear a big kissing sound, and that's deserved. For the record, I am on the side of letting the OCLUG pass away gracefully, and using the AED on OCUUG. What do you think about that? Notice of the time and place for holding an Annual Meeting or a General Meeting shall be given by sending it to each member and to the auditor fourteen days or more before the date of the meeting. (s. 93 (1) (a)), (s. 93 (2)), (s. 129 (1) (i)) In addition, for a special resolution like this, you need to notify members - in that notice of meeting - that this resolution will be voted on at that meeting. But I think it's highly inappropriate *not* to have sent a reminder a week before March 27, so that anyone who missed the email in January might be reminded. I think at a minimum you need to postpone this discussion until after April 14, and give people until the end of this week to send in their legal names.
