Dissolving OCLUG was Re: OCLUG meeting Thursday April 6th 2023

If ANYTHING should be done correctly at OCLUG, surely it should be dissolving the corporation.

OCLUG BY_LAW No. 1 requires two weeks notice MINIMUM to members of a general
meeting which business such as dissolution can be voted on.:

 81. Notice Interval. Notice of the time and place for holding an Annual Meeting
or a General Meeting shall be given by sending it to each member and to the
auditor fourteen days or more before the date of the meeting. (s. 93 (1) (a)),
(s. 93 (2)), (s. 129 (1) (i))

In addition, for a special resolution like this, you need to notify members - in that notice of meeting - that this resolution will be voted on at that meeting.

Procedure:

All members who have responded to the request to provide their legal name
before March 27, 2023, are eligible to vote. A ballot will be sent by email
from
secretary [ at ] linux-ottawa [ dot ] org to each such person on or before April 6. Voting
will close at 11:59pm on April 6th EDT. You may vote before the April 6th meeting, or wait
for the discussions at that meeting.

Well, I sent in my name on January 23, so I hope I'm counted.

But I think it's highly inappropriate *not* to have sent a reminder a week before March 27, so that anyone who missed the email in January might be reminded.

I think at a minimum you need to postpone this discussion until after April 14, and give people until the end of this week to send in their legal names.
